Terms of Service

Draft notice: These Terms are a good-faith draft by the Videoscriber team. They have not been reviewed by counsel. Please review with a qualified attorney before launching to the public.

Welcome to Videoscriber. These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, and services (the “Service”) operated by Videoscriber LLC, a Florida limited liability company (“Videoscriber,” “we,” “us,” “our”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is currently available only to users with valid US phone numbers. By using the Service you represent that you meet these requirements.

2. Accounts & authentication

You create an account by verifying a US mobile phone number via one-time passcode (OTP) and providing your name and email address. You are responsible for activity that occurs under your account. You agree to provide accurate information and to keep your phone number and email current. Notify us immediately at support@videoscriber.ai if you suspect unauthorized use of your account.

3. Your content

The Service lets you upload audio and video recordings (“User Content”) for transcription, recap drafting, and follow-up delivery. You retain all rights in your User Content. By uploading User Content, you grant Videoscriber a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your User Content solely to provide the Service to you. This license ends when you delete the User Content, subject to the retention schedule in our Privacy Policy.

4. Third-party processors

To provide the Service, we route your User Content to sub-processors including (but not limited to) OpenAI (transcription, summarization), AssemblyAI (speaker diarization, when enabled), Twilio (SMS one-time passcodes), Resend (transactional email), and our infrastructure provider. A current list and description is in the Privacy Policy. Your use of the Service is also subject to those providers' terms where applicable.

5. Acceptable use

You agree not to:

  • Upload recordings of any person without the consent required by the laws of every applicable jurisdiction (including wiretap, eavesdropping, and two-party-consent laws);
  • Use the Service to create deepfakes, impersonate others, or transcribe content obtained illegally;
  • Attempt to reverse-engineer, probe, or compromise the Service, or circumvent rate limits, authentication, or other controls;
  • Use the Service to send unsolicited email, SMS, or other communications in violation of applicable law;
  • Upload User Content that infringes intellectual property rights or contains unlawful material.

6. Cloud vs. desktop

The Service has two modes: the cloud app (gated behind account authentication) and the open-source desktop app (self-hosted, using your own API keys, with no cloud storage by default). These Terms apply to your use of the cloud app. The desktop app is made available separately under its open-source license.

7. Fees

The Service may offer free and paid tiers. Paid features will be described at the point of purchase. Fees are non-refundable except as required by law. We may change prices on notice.

8. Termination

You may stop using the Service and request account deletion at any time by contacting support@videoscriber.ai. We may suspend or terminate your account if you breach these Terms, create risk for Videoscriber or other users, or fail to pay. Sections 3, 9–14 survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEOSCRIBER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRANSCRIPTS AND RECAPS ARE AUTOMATED OUTPUTS AND MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR REVIEWING ANY OUTPUT BEFORE RELYING ON IT OR SENDING IT TO THIRD PARTIES.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDEOSCRIBER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Videoscriber, its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, or your breach of these Terms.

12. Governing law & venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

13. Changes

We may update these Terms from time to time. If we make material changes we will notify you (for example, by email or in-app notice) before they take effect. Continued use of the Service after an update constitutes acceptance of the revised Terms.
